**The Role
This is an exciting opportunity for a talented and dynamic Commercial Paralegal to join a company at the forefront of the energy transition. This innovative company is engaged in hydrogen and carbon capture and storage activity in the UK and is recruiting for a Paralegal to support the business at a time of growth, with a particular focus on joint ventures, project development, project financing and associated legal and regulatory matters. ** Primary Accountabilities:
The successful candidate will advise, draft, negotiate, support and/or assist with:
- A variety of corporate and commercial matters such as confidentiality agreements, supply or purchasing agreements, term sheets, contract variations, disputes and real estate agreements.
- Preparation of corporate documentation such as joint ventures/shareholder agreements, term sheets share purchase agreements, asset purchase agreements.
- Researching legal topics and/or drafting notes of advice.
- Arranging correct execution of contract documentation by senior executives.
- Company secretarial work (drafting board minutes, shareholder resolutions, taking minutes and preparation of board packs) for our UK companies, with supervision from others in the team; and rolling out, communicating, improving and enforcing the internal compliance framework and corporate approvals policies.
- Supporting on corporate governance requirements such as those arising under the Companies Act 2006, Health and Safety legislation, Data Protection legislation, the Bribery Act and the Modern Slavery Act.
** About you
You will be educated to graduate level or equivalent – preferably with a degree/diploma in English law or considerable vocational experience of working in an English legal/contract environment.
You should have some demonstrable commercial contracts experience from already having worked for a law firm or as part of an in-house legal team. Experience of undertaking compliance and/or company secretarial work is a bonus.

Ability to build strong working relationships with colleagues, prioritise and plan work appropriately so that deadlines are met as well as being able to work independently as part of a team. You will be a strong problem solver with the tenacity to find solutions and remain resilient under pressure and able to manage changing priorities.
