**The Role

This is an exciting opportunity for a talented and dynamic individual to join our legal team to advise on a range of commercial matters. This is a new role within EET Hydrogen which requires an individual to utilise their knowledge and experience of advising on joint ventures, gas/ hydrogen supply agreements, project development, project financing and associated legal and regulatory matters to efficiently advise the Company on its hydrogen development activity in the UK.  This is a rare opportunity to expand the skill set with a broad range of complex and high-quality work.

**Primary Responsibilities:

The role will include, but will not be limited to:

  • Drafting and advising on joint venture arrangements (non-disclosure agreements, memoranda of understanding, joint bidding agreements, joint venture agreements, shareholder agreements)
  • Advising on issues in project agreements to enable them to be suitable for obtaining financing (debt and equity)
  • Drafting and advising on commercial contracts (contracts for difference, gas/ hydrogen offtake agreements, power purchase agreements, pipeline agreements, tie-in agreements, service agreements)
  • Advising on risk allocation between the company, its contractors and third parties
  • Interpreting and advising on existing contracts and managing any disputes or conflicts
  • Supporting the board with preparing advice notes, company admin and updating policies
  • Collaboration and instructing external counsel on matters requiring specialist advice
  • Manage multiple internal stakeholders and conflicting demands effectively

**About you:

Our ideal candidate will have 5+ years of post-qualification experience from working within the legal profession at leading law firms and/or excellent in-house teams in the energy sector. An upstream lawyer with experience of gas development, transportation, processing and related project agreements will find they have most of the skills required to transfer to hydrogen. You need to have excellent working knowledge of English contract law, commercial law and energy projects experience. Strong commercial law experience and acumen alongside excellent negotiation skills are essential for this role.  You will be skilled at operating effectively in a dynamic business environment across all areas of the business and teams.

** The Role

We currently have an exciting opportunity for a talented and dynamic individual to join our legal team to advise on procurement and construction law matters.  This is a new role within EET Hydrogen which requires the individual to utilise their construction experience to efficiently advise on EET’s interests.

You will be involved in the construction aspects of a number of interesting projects as we look to build a hydrogen production hub in the North West of England.  This is a unique and interesting opportunity that will provide the successful candidate with scope to work on nascent brownfield projects utilising cutting edge technology within a complex and dynamic business.

** Primary Accountabilities:

  • Drafting, reviewing and leading negotiations on EPC, EPCM and other construction contracts.
  • Experience of negotiating commonly used contract forms is essential, including JCT and NEC, iChemE, FIDIC etc.
  • Reviewing and negotiating a wide range of other related construction related contractual documentation including collateral warranties, guarantees, novation agreements, letters of reliance, framework agreements, letters of intent, technology licence agreements, non-disclosure agreements, joint venture agreements and teaming agreements.
  • Creating standard form procurement agreements and the related forms, processes and schedules to support construction works.
  • Advising the Company on risk management and regulatory compliance.
  • Advising on potential and actual construction disputes, including pursuing and defending claims.
  • Working closely with solicitors of other disciplines, including property, to ensure adequate due diligence is carried out.
  • Advising on the procurement of resources and materials.
  • Advising on health and safety, insurance, liability and environmental matters relating to construction projects.

**About You

Our ideal candidate will be a Qualified Solicitor in England with at least 10 years PQE in Construction/Procurement Law and will have experience of working within the legal profession at leading law firms and/or excellent in-house teams. You need to have a strong academic record and have excellent working knowledge of English construction contracts and law. Strong commercial law experience and acumen is essential for this role.  You should be a solid, grounded, affable, and mature character, who is skilled at operating effectively and authoritatively, in a dynamic business environment.

You will possess strong interpersonal skills, negotiating skills and the ability to manage multiple interfaces with varying needs and priorities are critical to success in this position. Be organised and diligent as well as commercially minded with the drive to find and implement business process improvements and efficiencies wherever possible. Ability to take ownership of multiple issues / projects and push them through to resolution, either project managing each issue to completion or contributing as part of a team, as well as comfortable and credible liaising at all levels within EET.

** Primary Accountabilities:

The successful candidate will advise, draft, negotiate, support and/or assist with:

  • A variety of corporate and commercial matters such as confidentiality agreements, supply or purchasing agreements, term sheets, contract variations, disputes and real estate agreements.
  • Preparation of corporate documentation such as joint ventures/shareholder agreements, term sheets share purchase agreements, asset purchase agreements.
  • Researching legal topics and/or drafting notes of advice.
  • Arranging correct execution of contract documentation by senior executives.
  • Company secretarial work (drafting board minutes, shareholder resolutions, taking minutes and preparation of board packs) for our UK companies, with supervision from others in the team; and rolling out, communicating, improving and enforcing the internal compliance framework and corporate approvals policies.
  • Supporting on corporate governance requirements such as those arising under the Companies Act 2006, Health and Safety legislation, Data Protection legislation, the Bribery Act and the Modern Slavery Act.

** About you

You will be educated to graduate level or equivalent – preferably with a degree/diploma in English law or considerable vocational experience of working in an English legal/contract environment.

You should have some demonstrable commercial contracts experience from already having worked for a law firm or as part of an in-house legal team. Experience of undertaking compliance and/or company secretarial work is a bonus.
